Terms of Service

These Terms of Service ("Terms") govern your use of the website and services provided by USE SIGNAL MARKETING LTD (trading as Signal Marketing) ("we", "us", "our"). By engaging our services, you agree to be bound by these Terms.

1. Scope of Services

We provide digital marketing, paid media management, search and local optimisation, web development, and digital infrastructure services as defined in individual proposals, agreements, or Statements of Work.

All deliverables, timelines, and pricing are agreed in writing prior to commencement of work.


2. Deposits and Payments

All projects require a non-refundable deposit before work commences unless otherwise agreed in writing.

Monthly services are billed in advance. Clients may cancel at any time by providing at least seven (7) days written notice. No refunds will be provided for payments already made, including partial months.

If payment is not received when due:

  • Services may be suspended immediately.
  • Advertising campaigns may be paused or removed.
  • Access to hosted systems, websites, or email services may be restricted.
  • Outstanding invoices may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

Failed Stripe payments will be retried automatically for up to seven (7) days. Work will remain suspended until payment is successful.


3. No Guarantees

We do not guarantee specific results, rankings, revenue, return on ad spend, or performance metrics.

Digital marketing performance depends on numerous external factors beyond our control, including platform algorithms, market conditions, competition, and client cooperation.

If campaign performance is negatively impacted by client delays, inaccurate information, policy violations, or failure to implement recommendations, we shall not be held responsible.


4. Advertising Platforms and Third Parties

We are not responsible for account suspensions, policy enforcement actions, or platform bans issued by third-party platforms such as Meta, Google, Shopify, or other service providers.

We act solely as a service provider managing campaigns within the constraints of third-party platform policies.


5. Client Responsibilities

The client warrants that all materials, claims, content, trademarks, and data supplied to us are lawful and do not infringe any third-party rights.

The client agrees to indemnify and hold us harmless against any claims, losses, damages, or liabilities arising from materials or instructions supplied by the client.


6. Intellectual Property

All work, strategies, and creative materials remain the property of USE SIGNAL MARKETING LTD until full payment has been received.

Upon full payment, ownership of final deliverables transfers to the client unless otherwise agreed.

We retain ownership of all proprietary systems, frameworks, methodologies, internal tools, and intellectual property.

We reserve the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.


7. Access and Credentials

Where access to client systems is required, clients remain responsible for maintaining the security of their accounts.

We are not liable for breaches, security failures, or unauthorised access occurring within third-party systems.


8. Suspension and Termination

We reserve the right to terminate or suspend services immediately if:

  • Payment is overdue.
  • The client engages in unlawful activity.
  • The client breaches platform policies or applicable law.
  • The client acts in a manner that exposes us to reputational or legal risk.

Upon termination, access to hosted infrastructure or managed services may be withdrawn.


9. Data Processing

Where we process personal data on behalf of clients, we act as a data processor and the client remains the data controller.

We process such data solely for the purpose of delivering contracted services.


10. Limitation of Liability

To the fullest extent permitted by law:

  • We exclude liability for loss of profit, loss of revenue, loss of business opportunity, and indirect or consequential loss.
  • Our total liability shall not exceed the total fees paid by the client under the relevant agreement.

11. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of engagement.


12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
